Agreement to Terms
By accessing and using SAGEViBE, you accept and agree to be bound by the terms and provisions of this agreement. If you do not agree to abide by the above, please do not use this service.


1. Introduction

1.1. "SAGEViBE" is a subscription-based service that provides personal knowledge companions designed to learn from your life while maintaining your privacy and data security. The service includes web applications, mobile applications, and application programming interfaces (APIs) designed to create personalized AI companions.
1.2. SAGEViBE is administered by SAGEVIBE, Inc. ("Company", "we", "our", and "us" shall be construed accordingly).
1.3. These Terms and Conditions (including, without limitation, any additional terms and policies provided by us) set out the terms and conditions by which you may access and use SAGEViBE ("Terms"). By accessing and using SAGEViBE, you acknowledge that you have read, understood, and agree to be bound by these Terms.


2. Service Description

SageVibe provides personal knowledge companions that learn from your life while maintaining your privacy and data security. Our service enables users to create and use personalized AI companions through various interfaces, including web applications, mobile applications, email communications, and APIs.

3. License Grant

Subject to these Terms, we grant you a non-exclusive, non-transferable, revocable license to use SAGEViBE in accordance with these Terms and your subscription plan. This license does not convey any title or ownership rights to the SAGEViBE platform itself.

4. User Responsibilities

You shall:

• Provide accurate information when registering and maintain updated account information
• Maintain the security of your account credentials and notify us immediately of any unauthorized access
• Use the service in accordance with applicable laws and regulations
• respect the intellectual property rights of others
• Use SAGEViBE solely for lawful purposes and in a manner that does not infringe the rights of others
• Provide constructive feedback to help improve our service, which feedback will become our property
• Comply with all applicable laws and regulations when using SAGEViBE

5. Restrictions

You shall not:

• sell, lease, sublicense, or distribute SAGEViBE or your access credentials
• reverse engineer, decompile, or disassemble any part of SAGEViBE
• use SAGEViBE for any illegal purposes or exceed the scope granted herein
• engage in any activity that disrupts SAGEViBE, including (without limitation) hacking, spreading malware, or conducting fraudulent activities
• attempt to gain unauthorized access to any portion of SAGEViBE or any other systems or networks
• use SAGEViBE to harass, abuse, or harm others
• violate any applicable laws or regulations

6. Data Ownership and Privacy

6.1. Your Data: You retain full ownership of all personal data, content, and information you provide to your knowledge companions ("Your Data"). SAGEViBE does not claim ownership of Your Data.
6.2. Our Rights: While you own Your Data, you grant us a limited license to process, store, and use Your Data solely to provide and improve SAGEViBE services.
6.3. Privacy: We are committed to protecting your privacy. Our data handling practices are governed by our Privacy Policy, which is incorporated into these Terms by reference.


7. Intellectual Property

7.1. The SAGEViBE service and its original content, features, and functionality are owned by SAGEVIBE, Inc. and are protected by international copyright, trademark, and other intellectual property laws.
7.2. All rights, titles, and interests in SAGEViBE, including any modifications or improvements made during or after your use, belong exclusively to us.
7.3. Your feedback, suggestions, or ideas shared with us become our property, including all intellectual property rights therein.


8. Third-Party Services

8.1. SAGEViBE may integrate with or connect to third-party services, applications, or content ("Third Party Services").
8.2. We do not own, control, or endorse Third Party Services and assume no responsibility for their availability, functionality, or content.
8.3. Your use of Third Party Services is subject to their respective terms and conditions, and you use them at your own risk.
8.4. You expressly relieve us of any and all liability arising from your use of, or interaction with, any Third Party Services.

9.  Confidentiality

You acknowledge that certain aspects of SAGEViBE may be confidential and proprietary. You agree not to disclose any confidential information about SAGEViBE functionality, performance, or business operations to any third party without our prior written consent.


10. Disclaimers

10.1. SAGEViBE is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
10.2. We do not guarantee that SAGEViBE will meet your requirements, operate without interruption, be error-free, or be secure.
10.3. You acknowledge that you use SAGEViBE entirely at your own risk.
10.4. We do not warrant the accuracy, completeness, or usefulness of any information provided through SAGEViBE, including AI-generated responses.


11. Limitation of Liability

11.1. To the fullest extent permitted by law, we shall not be liable for any direct, indirect, incidental, special, consequential, or exemplary damages arising out of or in connection with SAGEViBE, including but not limited to damages for loss of profits, goodwill, use, data, or other losses, even if we have been advised of the possibility of such damages.
11.2. Our total liability to you for all claims arising from or relating to SAGEViBE shall not exceed the amount you paid us for SAGEViBE in the twelve (12) months preceding the claim.
11.3. You expressly waive and release us from any and all liability, claims, causes of action, or damages arising from or in any way relating to your use of SAGEViBE.

12. Indemnity

You agree to indemnify, defend, and hold SAGEViBE, Inc. and its officers, directors, employees, and agents harmless from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising out of or in connection with your use of SAGEViBE, violation of these Terms, or violation of any rights of another party.


13. Subscription and Payment Terms

13.1. SAGEViBE operates on a subscription basis. Subscription fees are charged in advance and are non-refundable except as required by law.
13.2. We reserve the right to modify subscription fees at any time, with notice provided in accordance with these Terms.
13.3. Failure to pay subscription fees may result in suspension or termination of your access to SAGEViBE.


14. Termination

14.1. We may terminate or suspend your account and access to SAGEViBE immediately, without prior notice, for any reason, including breach of these Terms.
14.2. You may terminate your account at any time by following the procedures outlined in your account settings.
14.3. Upon termination, your right to use SAGEViBE ceases immediately, but you retain ownership of Your Data.
14.4. Rights and obligations under the sections regarding Data Ownership and Privacy, Intellectual Property, Confidentiality, Disclaimers, Limitation of Liability, Indemnity, and Governing Law shall survive termination.

15. Modifications to Service and Terms

15.1. SAGEViBE, or your access to SAGEViBE, may be modified, updated, or discontinued at any time by us at our sole discretion, with or without notice.
15.2. These Terms may be amended at any time by us at our sole discretion. We will provide notice of material changes through SAGEViBE or via email.
15.3. Your continued use of SAGEViBE following any changes indicates your acceptance of those changes.


16. Governing Law and Dispute Resolution

16.1. These Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of Delaware, without regard to conflict of law principles.
16.2. Any disputes arising from these Terms or your use of SAGEViBE shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in court to protect intellectual property rights.
16.3. Nothing in this clause shall limit our right to seek relief in any court of competent jurisdiction.


17. Miscellaneous

17.1. Entire Agreement: These Terms, including any documents incorporated by reference, constitute the entire agreement between you and us regarding SAGEViBE and supersede all prior agreements and understandings.
17.2. Severability: If any provision of these Terms is found to be unenforceable, the remainder shall continue in full force and effect.
17.3. No Waiver: Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision.
17.4. Assignment: You may not assign your rights under these Terms without our written consent. We may assign our rights and obligations under these Terms without restriction.
